UGC Terms & Conditions

Good work starts with clear terms.

These terms provide the general framework for UGC services supplied by Sofiya to brands, agencies and other business clients. A written project confirmation may add or replace terms for a specific project.

About these terms

These Terms apply to enquiries, quotations and UGC projects supplied under the trading name Sofiya. The business details of the service provider are set out in the Legal Notice.

Business clients

Services are primarily intended for brands, agencies and other business clients. A person ordering outside their trade or profession must disclose that before confirming a project because mandatory consumer rights may apply and will not be limited by these Terms.

Enquiries and project confirmation

Submitting a Project brief does not create a booking, guarantee availability or form a binding contract.

Website prices are starting points and do not guarantee availability. Sofiya may accept or decline an enquiry. A project is confirmed only after the scope, deliverables, price, timeline, usage rights and payment terms have been agreed in writing and Sofiya has provided written confirmation. A project-specific confirmation or quotation takes priority where it conflicts with general website information.

Services and packages

Services may include short-form or longer UGC videos, content packages, product photography, concept development, filming, editing, captions, voice-over, organic content, paid advertising usage, and optional publication on the creator’s own social media accounts.

Posting on Sofiya’s own social media accounts is not included unless expressly agreed in writing.

Scope and deliverables

Each written project confirmation should identify, where relevant:

  • number and duration of videos or photos;
  • format, aspect ratio and delivery format;
  • language, script or concept, voice-over and subtitles;
  • hooks, calls to action and editing requirements;
  • raw footage, project files and publication requirements;
  • the exact organic, paid or other usage rights granted.

Client responsibilities

The client must:

  • provide an accurate brief, product and required information on time;
  • provide approved product claims, mandatory advertising wording and safety instructions;
  • provide lawful trademarks, logos and other brand materials;
  • ensure the product and campaign comply with applicable law;
  • provide timely, consolidated feedback;
  • not require false, misleading, illegal or unsubstantiated statements.

Product delivery

Responsibility for shipping costs is agreed per project. The production timeline starts only after the product, final brief and required information have been received. Delivery delays may move the schedule. The client must state before shipping whether the product must be returned; return method and cost are agreed separately. Sofiya is not responsible for ordinary wear or consumption resulting from agreed product use during filming.

Timelines

Timelines are set in the written project confirmation and ordinarily begin after all required materials and any agreed advance payment have been received. Delays in the client’s brief, product, approvals or feedback may move the delivery date. Express work is subject to availability and may carry an additional fee where agreed in writing.

Drafts, approval and revisions

Unless otherwise stated in the written project confirmation, the number of included revision rounds will be specified before the project begins. A revision is a change within the approved brief. A new concept, script, location, product or substantial change of direction is additional work. Extra revisions and requests made after final approval may be charged separately.

Reshoots

A reshoot may be completed without an additional creative fee where the content materially fails to follow the approved brief because of Sofiya’s error, or where Sofiya caused a confirmed technical defect.

A reshoot may be charged separately where the client:

  • changes the concept, script, product or marketing strategy;
  • provided incorrect or incomplete information;
  • did not disclose a mandatory requirement before filming;
  • requests a different result despite the content matching the agreed style and brief.

Pricing

Current indicative prices appear in the website Rates section. The final fee is confirmed in writing and may depend on deliverables, complexity, deadline, travel, props, models, raw footage and usage rights. Gifted collaborations are considered individually. Additional services are charged only where agreed.

Payment

Any deposit, staged payment and final payment are stated in the project confirmation. Work may begin after the agreed deposit has cleared. Final unwatermarked files may be withheld until agreed payment is received. The content licence becomes effective only after full payment. The invoice states its due date. In the event of late payment, Sofiya may pause work, delivery and usage rights to the extent permitted by law.

Cancellation by the client

An enquiry may be withdrawn without a cancellation fee before project confirmation. After confirmation, the client remains responsible for completed work and non-refundable costs. A deposit may become wholly or partly non-refundable after work starts, depending on the confirmed project terms and stage reached.

  • Before creative work begins: Refund of payments received, less non-refundable expenses already incurred.
  • After concept or script preparation: Completed concept or script work remains payable.
  • After filming starts: A full refund is normally unavailable once filming has started.
  • After draft delivery: A full refund is normally unavailable after draft delivery, except where Sofiya has materially failed to deliver the agreed service.

Cancellation by the creator

If Sofiya cannot complete a confirmed project, she will notify the client. The parties may agree a revised date or end the unperformed part of the project. Payments for the unperformed part will be returned; work already performed and accepted remains payable.

Refunds

Refunds are assessed according to the stage of the project. Views, sales or advertising results are not guaranteed and their absence is not a refund basis. Subjective dissatisfaction does not create a right to a full refund where the work follows the brief. If there is a material non-conformity, Sofiya must first have a reasonable opportunity to correct it. A refund for an unperformed part may be available where the project cannot be completed because of Sofiya’s failure.

Intellectual property

Copyright in created content initially belongs to Sofiya unless an express written assignment says otherwise. The client receives only the licence agreed in writing. Buying a video does not automatically transfer all copyright. A full buyout or assignment requires a separate written agreement and may carry an additional fee. No licence takes effect before full payment.

Organic usage

Organic usage means unpaid publication of the approved content on the client’s own social media accounts.

Where the agreed package includes unlimited organic use, “unlimited” applies only to the agreed organic use on the brand’s own social accounts unless the project confirmation states otherwise. It does not include paid ads, boosted posts, whitelisting, Spark Ads, Partnership Ads, website advertising, ecommerce marketplaces, email campaigns, television, cinema, outdoor media, retailer, distributor or affiliate accounts, third-party use, resale or sublicensing.

Paid advertising usage

Current website paid-usage starting points are:

  • 3 months: +50%
  • 6 months: +75%
  • 12 months: +100%
  • 24 months: +150%

Paid usage fees are calculated as a percentage of the applicable content creation fee, unless a different fee is agreed in writing. Paid usage must identify the licensed content, client, platforms, markets and term. The term begins on the first advertising launch unless agreed otherwise. The client must provide that date, stop paid use when the term expires and obtain a written extension for continued use. Editing, relaunching or moving a campaign to another agency does not extend the term. An agency may use the content only for the named client; sublicensing requires written permission.

Whitelisting, Spark Ads and Partnership Ads

Whitelisting, TikTok Spark Ads, Meta Partnership Ads and advertising through Sofiya’s identity or account are not included automatically. Any permission must define the platform, duration, access method, campaign scope, compensation, termination date and removal of access after the campaign.

Use of name, image and voice

Permission to use Sofiya’s face, image, likeness, name, voice or social handle is limited to the written licence. Without separate written consent, content may not be used for AI training, voice or face cloning, deepfakes, synthetic avatars, materially misleading edits, political advertising, adult, discriminatory or illegal content, or to suggest an endorsement that was not agreed.

Editing by the client

The client may make only technically reasonable changes allowed by the licence. It may not change the meaning of statements, remove context to create a false endorsement, reuse footage for another product, add unapproved claims, or use AI to modify Sofiya’s face or voice without written consent.

Raw footage and project files

Raw footage and editable project files are not included unless expressly listed in the project confirmation. Raw footage may carry an additional fee, and its delivery does not transfer copyright or grant usage beyond the written licence.

Posting on Sofiya’s account

Publication on Sofiya’s account is a separate service. Platform, date, caption, tags, links, disclosure and minimum display period must be agreed in writing. Reach and performance are not guaranteed. Sofiya may use clear advertising or paid-partnership labels. The client receives no account access unless separately agreed.

Advertising disclosure

Paid publication, barter, gifted products and affiliate relationships may require advertising disclosure. Both parties must follow applicable advertising rules and platform policies. Sofiya may apply clear ad labels, and the client must not require concealment of the commercial relationship.

Product claims and compliance

The client is responsible for the accuracy and legality of product claims, instructions, safety warnings, trademarks, comparative advertising and medical, health, cosmetic, financial or environmental claims it supplies or approves. Sofiya may refuse false, unlawful, unsafe or unsupported wording.

Music and third-party materials

Commercial advertising may require different music rights from ordinary social publication. No trending sound should be assumed to be cleared for ads. The music source must be agreed. The client confirms that it has rights to supplied logos, photos, scripts and other materials. Sofiya is responsible for materials she independently adds to the final content within the agreed use.

Portfolio rights

Sofiya may display completed and publicly released work in her website portfolio, social media, media kit and private presentations to potential clients unless confidentiality or an embargo has been agreed in writing. An unreleased product or campaign will not be published before the agreed launch or embargo date.

Confidentiality and embargoes

Confidential briefs, unreleased products, campaign plans, non-public pricing, access credentials, internal information and embargo dates must not be disclosed or used outside the project without permission. Each party must use reasonable care to protect confidential information received from the other.

File retention

Unless otherwise agreed, project files and raw footage may be deleted after a reasonable period following final delivery. The current working retention period is 60 days. Clients should download and securely archive delivered files promptly; indefinite storage is not included.

No guarantee of results

Sofiya provides creative services and does not guarantee any specific number of views, impressions, clicks, conversions, sales, followers, return on advertising spend, viral performance or platform approval.

Platform changes

Sofiya is not responsible for algorithm changes, account restrictions, platform outages, campaign rejection caused by the product category or client claims, or changes to platform policies outside her reasonable control.

Limitation of liability

To the extent permitted by law, liability arising from a project is limited to the amount actually paid for that project. This does not exclude liability for fraud, intentional misconduct, or any liability that cannot lawfully be excluded or limited. Neither party is liable for indirect loss that was not reasonably foreseeable when the project was confirmed.

Responsibility for supplied materials

Each party is responsible for claims, losses or rights violations caused by the materials, instructions or actions it supplies or controls. This provision does not create an unlimited or one-sided indemnity and remains subject to applicable law and the agreed project scope.

Force majeure

A party is not responsible for delay caused by illness, accident, delivery disruption, power or internet failure, platform outage, government restriction, natural disaster or another circumstance beyond reasonable control. The parties will seek a fair revised schedule or termination of the unperformed part of the project.

Termination

A confirmed project may be suspended or terminated for material breach, non-payment, illegal instructions, abusive behaviour, failure to supply required materials, or unauthorised use of content. Where the breach can reasonably be corrected, written notice and a reasonable opportunity to remedy it should be provided first.

Data protection

Personal data connected with enquiries and projects is handled as described in the Privacy Policy.

Governing law

These Terms are governed by the laws of the Czech Republic, unless mandatory law requires otherwise.

Dispute resolution

The parties will first try to resolve a dispute through good-faith written negotiation. No specific court is designated by these Terms. If the client is a consumer, mandatory consumer rights and any mandatory dispute-resolution rights remain unaffected.

Changes to these Terms

These Terms may be updated for future enquiries. The version accepted or referenced in a confirmed project continues to apply to that project unless the parties agree otherwise in writing.
